Terms of Service
These Terms of Service are a binding agreement between you and Byte Nimble Inc. for the AI Song Generator website and the paid AI Song Generator Studio. Please read them carefully: they explain how subscriptions renew and how to cancel, and section 24 contains an agreement to resolve disputes by individual arbitration, with a class action waiver, for users in the United States.
Section 01
1. The agreement
These Terms apply when you visit the AI Song Generator website, create an account, or use the AI Song Generator Studio and its tools (together, the Service). The Service is provided by Byte Nimble Inc., [Registered address, set NEXT_PUBLIC_LEGAL_ADDRESS] (AI Song Generator, we, us or our). By creating an account, buying a plan or otherwise using the Service, you accept these Terms. If you do not accept them, do not use the Service.
The following policies form part of these Terms: our Privacy Policy, Acceptable Use Policy, Copyright Policy, Refund and Cancellation Policy, Cookie Policy and, if you take part, the Referral Program Terms. If you use the Service for a company or other organization, you confirm that you may accept these Terms for it, and you means that organization as well as you.
Section 02
2. Changes to these Terms
We may update these Terms from time to time. If a change materially affects your rights or what you pay, we will tell you at least 14 days in advance by email or in the Studio, and the new version applies from the date stated. If you do not agree, you can cancel before the change takes effect, and the previous version continues to apply until your current billing period ends. Changes required by law, or needed to deal with misuse or a security risk, may apply sooner. The date at the top of this page shows when these Terms were last updated.
Section 03
3. Eligibility and your account
You must be at least 18 years old, or the age of majority where you live if that is higher, to create an account or buy a plan. You may not use the Service if you are barred from doing so under the laws of the United States or the country where you live, including because you are on a government sanctions list.
You agree to give accurate information, keep your sign-in details secure and tell us promptly at [email protected] if you think someone has used your account without permission. You are responsible for activity under your account. An account is for one person; you may not share, sell or transfer it, or open additional accounts to get around a suspension, a limit or a promotion rule.
Section 04
4. The Service
The AI Song Generator Studio is a paid service that lets you create music and related content with AI models, transform and edit tracks, separate stems, make music videos, export files and organize your work in a private library. There is no free Studio plan. Without an active paid plan you can sign in, browse, play and download what you already made, and prepare drafts, but you cannot generate, transform or export anything that uses Studio credits.
The tools, models, video resolutions and limits available to you depend on your plan. Our pricing page describes each plan, and the Studio shows which plan a locked tool needs. Features labeled beta or preview are offered as they are, may be less reliable and may change or end.
Our website also offers free demo pages that embed third-party, open-source models hosted on Hugging Face. Those demos are not part of the Studio, are run by third parties under their own terms and licenses, and are not covered by these Terms or by any commitment from us about their availability, output or the rights in that output.
Section 05
5. Paid plans, automatic renewal and payment
Byte Nimble Inc. sells the Studio subscriptions and top-ups. Payments are processed by our payment processor, Stripe, which collects and stores your card details; we never see or store your full card number.
Automatic renewal. Paid plans are subscriptions billed in advance for a weekly, monthly or annual period. When you subscribe, you authorize a recurring charge: your subscription renews automatically at the end of each period for another period of the same length, and the price of your plan then in effect, plus any applicable tax, is charged to your payment method on file until you cancel. The price, billing period and renewal date are shown before you confirm your purchase and at any time in Settings > Billing. You can cancel at any time as described in section 6, and cancellation stops all future charges. Where the law requires, we send a reminder before an annual subscription renews.
Prices and taxes. Prices are shown in US dollars at checkout unless another currency is shown there. Sales tax, VAT or similar taxes are added where required and shown before you pay. We do not offer free trials.
Price changes. We may change plan prices. We will tell you at least 30 days before a new price applies to your subscription, and it applies from your next renewal after that notice. If you do not want to pay the new price, cancel before that renewal.
Discounts. A promotional or retention discount, such as a welcome offer for new customers, a referral discount or an offer we show when you start to cancel, applies only for the periods stated in the offer, and each offer can be used once per customer within the period we state. Only one discount applies to a payment. After that, your subscription renews at the regular price of your plan unless you cancel.
Failed payments. If a renewal payment fails, we tell you and the charge may be retried. You can keep using the Studio for a short grace period; if the payment still fails, generation is paused until the balance is paid, and the subscription may end.
Section 06
6. Cancelling your subscription
You can cancel online at any time in Settings > Billing, without contacting us. Before you confirm, we show the date your access ends and what happens to your credits; we may also show a one-time offer, which you can decline in one step. Cancellation takes effect at the end of the current billing period: you keep access and your remaining credits until then, and you are not charged again. We send a confirmation by email. You can also cancel by emailing [email protected] from the address on your account.
Section 07
7. Refunds
If you have not used any Studio credits from a payment, you can ask for a full refund of that payment within 14 days of the charge. This applies to the first payment of a subscription, to each renewal and to top-ups, and a refunded subscription payment also ends that subscription. We also refund billing errors, and we offer a fair remedy if a significant outage stops you from using the Studio. Refunds are issued by we, through Stripe, to your original payment method. The Refund and Cancellation Policy explains the details, including the statutory withdrawal right of consumers in the EU, the EEA and the UK.
Section 08
8. Studio credits
Studio actions, such as generating, extending, splitting stems or rendering video scenes, use Studio credits. The number of credits an action uses is shown in the Studio before you confirm it. We may change the credits an action uses; a change never affects a request you have already confirmed.
- Subscription credits are added at the start of each credit period: every week on the weekly plan and every month on monthly and annual plans. Unused subscription credits do not roll over; they expire at the end of each credit period and when your subscription ends.
- Top-up credits can be bought while you have an active subscription. They do not expire while your account exists, but you need an active subscription to use them. Subscription credits are used before top-up credits.
- If a request fails, the credits reserved for it are returned automatically. If only part of a request is delivered, you are charged only for the part delivered, rounded in your favor. A request refused by our content checks before it starts is not charged.
- Credits are a license to use the Service, not money. They have no cash value, are not a deposit or stored value, and cannot be sold, transferred or exchanged for cash, except where the law requires otherwise.
- We may correct credit balances that result from errors, fraud, reversed payments or abuse of automatic refunds, and we will tell you if we do.
Section 09
9. Your inputs
Inputs are the prompts, lyrics, style descriptions, titles, audio, images, video, voice recordings and other material you submit to the Service. You keep the rights you have in your Inputs. You grant us a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit and display your Inputs only as needed to operate, secure, moderate and support the Service for you, including sending them to the AI providers that process your requests. This license ends when you delete the Inputs or your account, except for copies kept for a limited time in backups or where the law requires us to keep them.
You confirm that you own your Inputs or have all the rights and permissions needed for the use you request, including for transformations such as covers, extensions, added vocals and mashups, and that your Inputs and your use of the Service comply with the law and our Acceptable Use Policy. We record the rights confirmations you give in the Studio, together with the policy version and the time.
Section 10
10. Outputs
Outputs are the music, lyrics, stems, MIDI, videos, images, files and other content the Service generates for you. As between you and us, and provided you comply with these Terms, we assign to you all rights we have in the Outputs created through your account, and we do not claim ownership of them. Your rights in Outputs created while you had an active paid plan continue after your plan ends.
Outputs are produced by AI models. Similar Inputs can produce similar or identical Outputs for other users, so we cannot promise that an Output is unique or exclusive to you. Copyright protection for AI-generated material is limited in the United States and many other countries and may depend on your own creative contribution; we do not promise that any Output can be registered or enforced, or that it is free of third-party rights.
Commercial use is permitted subject to these Terms, to any conditions that the providers of the underlying models require us to pass on, and to the law where you use the Output. You are responsible for your use of Outputs, including checking that it does not infringe the rights of others and following the rules of any platform, distributor or client, including rules on disclosing AI involvement. You may not use an Output in a way that suggests that a real artist or person created, performed or endorsed it when they did not.
Section 11
11. Publishing and public pages
Your library is private unless you choose to publish a track. When you publish, you grant us a worldwide, non-exclusive, royalty-free license to host, stream, display and distribute the published track, its artwork and the details you choose to show, within the Service and on public pages such as Explore and track pages, for as long as it stays published. You can unpublish at any time; copies cached by browsers or search engines may take some time to disappear.
Publications usually go live at once and are reviewed afterwards. Some are reviewed before they go live, for example when our automated checks have flagged the request behind a track or when staff recently removed content from the account. We may decline, unpublish or remove published content that breaks these Terms or the law, and we may unpublish content temporarily while we look into a credible complaint.
Section 12
12. Voices and likeness
You may create a custom singer voice only from your own voice or from a voice whose owner has given you documented permission for that use, and only after completing the verification we require. You may animate a photo of a person, for example in a lip-sync or music video, only if the person is you or has given you permission, and you must confirm that consent in the Studio. You may not create or use a voice or likeness of a public figure, a minor or anyone who has not consented. You can revoke a saved voice at any time, after which it is not used for new requests.
Section 13
13. Content screening and moderation
To keep the Service lawful and safe, we check requests and uploads automatically, on our own servers, before they are processed. We may refuse a request that names or imitates a real artist or breaks our Acceptable Use Policy, refuse uploaded media that contains adult content or matches a recording removed for copyright, and flag content for human review. A refused request is not charged. Automated checks are not perfect and do not mean that we have reviewed or approved any content; you remain responsible for your Inputs and for how you use Outputs. We may review, restrict or remove content and accounts as described in these Terms and our Acceptable Use Policy, and you can ask us to review any decision.
Section 14
14. Acceptable use
You must follow our Acceptable Use Policy. In short: no infringing or unlawful content, no impersonation, no voice cloning or animated likeness without consent, no sexual content involving minors, no hateful, threatening or harassing content, no spam or streaming manipulation, and no attempts to break, overload, scrape or reverse engineer the Service or to get around credits, limits, payments or safety measures.
Section 15
15. Copyright complaints and repeat infringers
We respond to notices of alleged infringement under the Digital Millennium Copyright Act and our Copyright Policy, which explains how to submit a notice or a counter-notice. In appropriate circumstances we terminate the accounts of repeat infringers, and audio removed for copyright reasons may be fingerprinted so that it cannot be uploaded again.
Section 16
16. Third-party services
The Service relies on third parties, including Stripe for payments, cloud and hosting providers, and AI generation providers. The free demos on our website are operated by third parties on Hugging Face under their own terms. Links to other websites, such as music distributors, are provided for convenience. We are not responsible for third-party services we do not control, but this does not limit our responsibility for the providers we choose to deliver the Studio to you.
Section 17
17. Changes to the Service
AI models and features change quickly. We may add, change, replace or remove features and models, including the models behind each quality profile, as long as the Studio keeps substantially the functionality you paid for during your current billing period. If we move a tool to a higher plan or otherwise significantly reduce what your plan includes, we will tell you in advance and you may cancel; where the law requires, we refund the unused part of a prepaid period. If you move to a lower plan, everything you already made stays in your library.
Section 18
18. Availability and support
We work to keep the Service available and to fix problems quickly, but it may be interrupted for maintenance, provider outages or events outside our control, and generation times vary with demand. We copy completed files to our own storage promptly, but you should keep your own copies of important work. Support is available by email at [email protected].
Section 19
19. Suspension and termination
You can stop using the Service at any time and delete your account in Settings > Privacy. Deletion takes effect after a seven-day cooling-off period, during which you can change your mind, and removes your library as described in our Privacy Policy. If you have an active subscription, deletion happens only after the subscription has ended, so cancel it first in Settings > Billing. Deleting your account does not refund a payment already made.
We may suspend or restrict your account, remove content or end these Terms if you seriously or repeatedly break them, if your use creates legal risk or harm for others, if a payment is reversed or disputed without good reason, or if the law requires it. Where reasonable, we will warn you first, give you a chance to fix the problem and tell you the reason. If we end your account without cause, we refund the unused part of any prepaid subscription. When your account ends, unused credits lapse unless the law requires otherwise. Sections that by their nature should continue, such as rights in Outputs, disclaimers, limitations of liability and dispute resolution, survive.
Section 20
20. Disclaimers
We provide the Service with reasonable skill and care. Beyond that, and to the fullest extent permitted by law, the Service and all Outputs are provided as is and as available, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that Outputs will be accurate, unique, suitable for your purpose or free of third-party claims. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
Section 21
21. Limitation of liability
To the fullest extent permitted by law, neither we nor our suppliers are liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data or goodwill, arising out of or relating to the Service or these Terms, even if advised of the possibility. Our total liability for all claims arising out of or relating to the Service or these Terms is limited to the greater of the amounts you paid for the Service in the 12 months before the event giving rise to the claim and 100 US dollars.
These limits do not apply to liability that cannot be limited by law, such as liability for fraud, gross negligence or willful misconduct, or for death or personal injury caused by negligence. If you are a consumer in the EU, the EEA or the UK, we are also responsible for foreseeable loss caused by our breach of these Terms or our failure to use reasonable care and skill, and these limits apply only as far as your local law allows.
Section 22
22. Indemnity
To the extent permitted by law, you will defend, indemnify and hold harmless Byte Nimble Inc. and its officers, employees and agents from third-party claims, losses and reasonable costs, including legal fees, arising from your Inputs, your use of Outputs, or your breach of these Terms or of the rights of others. We will tell you promptly about any such claim and let you control its defense, subject to our right to participate with counsel of our choice.
Section 23
23. Governing law
These Terms are governed by the laws of the State of Massachusetts and the federal laws of the United States, without regard to conflict-of-law rules; the Federal Arbitration Act governs section 24. Subject to section 24, any dispute that is not arbitrated will be heard exclusively in the state and federal courts located in Massachusetts, and you and we consent to their personal jurisdiction. If you are a consumer outside the United States, you also keep the protection of the mandatory laws of the country where you live and may bring proceedings in your local courts.
Section 24
24. Dispute resolution, arbitration and class action waiver (United States)
This section applies if you live in the United States. Please read it carefully, because it affects how disputes are resolved.
Informal resolution first. Before starting arbitration or a court case, you and we agree to try to resolve the dispute informally for at least 30 days. Send a written description of the dispute and the relief you want to [email protected], or by post to Byte Nimble Inc., [Registered address, set NEXT_PUBLIC_LEGAL_ADDRESS]; we will send ours to the email address on your account.
Binding individual arbitration. If the dispute is not resolved within 30 days, you and we agree that any dispute, claim or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. The arbitration may take place by video, by phone, on written submissions, or in the county where you live. For claims within its fee schedule, we will pay the filing, administration and arbitrator fees that exceed what you would pay to file a claim in court, unless the arbitrator finds the claim frivolous. The arbitrator may award the same individual relief a court could, and the award may be entered in any court with jurisdiction.
Exceptions. Either of us may bring an individual claim in small claims court if it qualifies, and either of us may seek relief in court for infringement or misuse of intellectual property.
Class action and jury trial waiver. You and we may bring claims against each other only in an individual capacity, and not as a plaintiff or class member in any class, collective or representative proceeding. The arbitrator may not consolidate claims of more than one person. You and we waive any right to a jury trial.
Opting out. You can opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing [email protected] from the address on your account with the subject line Arbitration opt-out and your name. Opting out does not affect any other part of these Terms.
Severability. If the class action waiver is found unenforceable for a claim, that claim must be heard in court and not in arbitration. If any other part of this section is found unenforceable, the rest remains in effect.
Section 25
25. Export controls and sanctions
You may not use the Service in violation of United States export control or economic sanctions laws, including from a country or region subject to comprehensive US sanctions or if you are a person with whom US persons may not do business.
Section 26
26. General terms
These standard provisions apply to the whole agreement.
- These Terms and the policies they refer to are the entire agreement between you and us about the Service and replace any earlier agreement on the same subject.
- You agree to receive notices and agreements electronically. We send notices to the email address on your account or show them in the Studio; you can send notices to [email protected].
- If any provision is found unenforceable, it is limited to the minimum extent necessary and the rest stays in effect.
- If we do not enforce a right straight away, we have not waived it.
- You may not assign these Terms without our consent. We may assign them to an affiliate or to a successor of the Service, provided your rights are not reduced.
- Neither of us is liable for delays or failures caused by events beyond reasonable control.
- Headings are for convenience only. The words including and for example mean without limitation.
